The Company

We are a biopharmaceutical company focused on in-licensing, developing and commercializing product candidates principally for use in the hospital setting. We intend to build a leading franchise in the hospital setting, continuing to focus on products that are in late stages of development, currently commercialized outside the U.S., or approved in the U.S. but with significant commercial potential for proprietary new uses or formulations.

OFIRMEV™ (Acetaminophen) Injection

In March 2006, we in-licensed rights to OFIRMEV™ (acetaminophen) injection, from Bristol-Myers Squibb Company, which currently markets the product in Europe and several other markets under the brand name Perfalgan®. In October 2006, we initiated our Phase III clinical development program for this product. In May 2009, we completed our clinical development program for OFIRMEV and submitted a New Drug Application, or NDA, to the Food and Drug Administration, or FDA, requesting marketing approval of OFIRMEV for the management of pain and reduction of fever. Our NDA was accepted for filing by the FDA and designated for priority review in July of that year. The FDA extended its review period for the NDA and on February 10, 2010, we received a complete response letter from the agency, which stated that the NDA could not be approved due to deficiencies with respect to good manufacturing practices observed during an inspection of the facilities of our third-party manufacturer. We resubmitted our NDA for OFIRMEV on May 4, 2010 and on November 2, 2010, the product was approved by the FDA. We are currently preparing to initiate sales of OFIRMEV in the first quarter of 2011.

We believe that OFIRMEV may fulfill significant unmet needs in the hospital setting. We also believe that the hospital pharmaceuticals market is both concentrated and underserved and intend to focus our sales and marketing efforts primarily on hospital-based physicians who manage patients with mild to severe pain who cannot take oral medications.

Our Business Strategy

Our goal is to become a leading biopharmaceutical company focused on the development and commercialization of proprietary pharmaceuticals principally for use in the hospital setting. Our near-term strategy is to focus on commercializing OFIRMEV. Longer-term, our strategy is to in-license, acquire, develop and commercialize additional product candidates that are in late-stages of development, currently commercialized outside the U.S. or approved in the U.S. but with significant commercial potential for proprietary new uses or formulations. Successfully launch and expand the sales of OFIRMEV    We plan to finalize our preparations for commercializing OFIRMEV. liaisons, respectively, to inform and educate hospital-based physicians who treat patients with mild to severe pain and fever, and manufacturing commercial quantities of the product.

 

   

Build a highly leverageable sales organization targeting hospitals    We are continuing to develop a commercial sales and marketing organization that is focused on promoting OFIRMEV to hospitals in the U.S. To date, we have hired a highly experienced sales management team and are in the process of hiring approximately 150 hospital sales specialists. Because the number of institutions comprising the hospital marketplace is relatively limited, we believe that we can successfully promote OFIRMEV with our own sales force by focusing on the relatively small number of these institutions that account for a substantial portion of the prescribing activity. The concentrated nature of this market creates the opportunity for significant marketing synergies, and we intend to ultimately leverage our sales force with multiple products across multiple therapeutic categories in the hospital. Outside the U.S., we intend to establish strategic partnerships for the commercialization of any product candidates we may acquire in the future, in areas where we have commercialization rights.

 

   

Expand our product portfolio through acquiring or in-licensing additional late-stage, hospital-focused products with well-understood risk profiles    We will seek additional opportunities to acquire or in-license products to continue to exploit our commercial and development capabilities. ABOUT CADENCE

We are a biopharmaceutical company focused on in-licensing, developing and commercializing product candidates principally for use in the hospital setting, and are currently developing Acetavance, a proprietary intravenous formulation of acetaminophen, for the U.S. market for the treatment of acute pain and fever in adults and children.

We in-licensed the exclusive United States, or U.S., and Canadian rights to Acetavance from Bristol-Myers Squibb Company, or BMS, in March 2006. BMS currently markets this proprietary intravenous formulation of acetaminophen for the treatment of acute pain and fever in Europe and several other markets outside the U.S, where it is known as paracetamol and is marketed under the brand name Perfalgan®. U.S. Food and Drug Administration, or FDA, and designated for priority review by the agency in July 2009.

Acetaminophen was discovered in the late 19th century and was made available for sale in 1955 when it was introduced in the U.S. under the brand name Tylenol®. While, in its oral form, acetaminophen is the most widely used drug for the treatment of pain and fever in the U.S., there is currently no intravenous formulation currently available in the U.S. for patients who are unable to take medications by mouth. Acetaminophen is currently available in over 600 combination and single-ingredient prescription and over-the-counter medicines, including tablet, caplet, orally-dosed liquid suspension, powder and suppository forms for both adults and children.

We believe that Acetavance may fulfill significant unmet needs in the hospital setting, and that the hospital pharmaceuticals market is both concentrated and underserved, which may enable us to build our own hospital-focused sales force if Acetavance achieves FDA approval. Governing Law

The indentures and the debt securities will be governed by, and construed under, the laws of the State of New York.

Subordinated Debt Securities

Payment on subordinated debt securities will, to the extent provided in the indenture, be subordinated in right of payment to the prior payment in full of all of our senior indebtedness (except that the trustee may make payments to holders of monies deposited with it as described under “Satisfaction and Discharge; Defeasance”). The subordinated debt securities also are effectively subordinated to all debt and other liabilities, including trade payables and lease obligations, if any, of our subsidiaries, if any.

Upon any distribution of our assets upon any dissolution, winding up, liquidation or reorganization, the payment of the principal of and interest on subordinated debt securities will be subordinated in right of payment to the prior payment in full of all senior indebtedness in cash or other payment satisfactory to the holders of senior indebtedness. In the event of any acceleration of subordinated debt securities because of an event of default, the holders of any senior indebtedness would be entitled to payment in full in cash or other payment satisfactory to such holders of all senior indebtedness obligations before the holders of subordinated debt securities are entitled to receive any payment or distribution (except that holders of notes may receive and retain subordinated debt securities and payments made from either of the trusts described under “Satisfaction and Discharge; Defeasance”). a default other than a payment default on any designated senior indebtedness occurs and is continuing that permits holders of designated senior indebtedness to accelerate its maturity, and the trustee receives a notice of such default (called a “payment blockage notice”) from us or any other person permitted to give such notice under the indenture (called a “non-payment default”).

We are not prohibited from incurring debt, including senior indebtedness, under the indenture. We may from time to time incur additional debt, including senior indebtedness.

In February 2006, we entered into a $7,000,000 loan and security agreement with Silicon Valley Bank and Oxford Finance Corporation. In November 2007, we amended the agreement and entered into the second amendment to loan and security agreement with the same parties and GE Business Financial Services Inc. (formerly known as Merrill Lynch Business Financial Services Inc.), to secure an additional $15,000,000 credit facility. As of December 31, 2008, we had $13,792,286 of indebtedness outstanding under the agreement. Amounts borrowed under the agreement are collateralized by substantially all of our assets other than, subject to certain limited exceptions, intellectual property. Under the terms of the agreement, we may be precluded from entering into certain financing and other transactions, including disposing of certain assets and paying dividends, and are subject to certain non-financial covenants and prepayment penalties. No additional amounts can be drawn down under this agreement.

We are obligated to pay reasonable compensation to the trustee and to indemnify the trustee against certain losses, liabilities or expenses incurred by the trustee in connection with its duties relating to the subordinated debt securities. Certain Definitions

Anti-Takeover Effects of Provisions of Our Certificate of Incorporation, Our
