During the second quarter of 2011, Don M. Bailey, President and Chief Executive Officer of Questcor Pharmaceuticals, Inc. (the Company), adopted a stock trading plan related to the exercise and sale of up to 360,000 shares of the Companys common stock issuable under stock options previously granted to Mr. Bailey. Sales are scheduled to occur on a periodic basis and the plan is scheduled to terminate in July 2012.
This plan is intended to satisfy the requirements of Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, and was adopted in accordance with the Companys policies regarding securities transactions. Under Rule 10b5-1, directors, officers and other employees who are not in possession of material non-public information may adopt a pre-arranged plan or contract for the sale of Company securities under specified conditions and at specified times. Using these 10b5-1 plans, individuals can gradually diversify their investment portfolios, spread stock trades out over an extended period of time to reduce market impact and avoid concerns about whether such individuals might have had access to material non-public information at the time of a particular transaction. Transactions under this plan will be disclosed publicly through Form 4 filings with the Securities and Exchange Commission, to the extent required by law.
