Explanation of Responses:
1. These securities will automatically convert into Common Stock upon the closing of Cadence Pharmaceuticals, Inc.'s initial public offering.
2. Immediately convertible.
3. Not applicable.
4. Reflects a 1-for-4 reverse stock split, pursuant to which each share of Preferred Stock became convertible into 1/4 of a share of Common Stock.
5. 4-for-1.
6. Mr. Atwood is a managing member of Versant Ventures II, LLC, the general partner of each of these funds. Mr. Atwood disclaims beneficial ownership of the shares held by these funds, except to the extent of his pecuniary interest therein. The inclusion of these shares shall not be deemed an admission of beneficial ownership of all the reported shares for purposes of Section 16 or for any other purpose.
7. All of the shares of common stock subject to the option are immediately exercisable. 1,875 shares of common stock subject to the option are vested and are no longer subject the Company's right to repurchase. 1/16 of the total number of shares of common stock subject to the option vest and are no longer subject the Company's right to repurchase on the first day of each fiscal quarter.
8. All of the shares of common stock subject to the option are immediately exercisable. 1,250 shares of common stock subject to the option are vested and are no longer subject the Company's right to repurchase. 1/12 of the total number of shares of common stock subject to the option vest and are no longer subject the Company's right to repurchase on the first day of each fiscal quarter.

Forms 3, 4 and 5, and any amendments thereto, and cause such form(s) to be filed
with the United States Securities and Exchange Commission pursuant to Section
16(a) of the Securities Act of 1934, relating to the undersigned's beneficial
ownership of securities in the Company.  The undersigned hereby grants to each
such attorney-in-fact full power and authority to do and perform any and every
act and thing whatsoever requisite, necessary, or proper to be done in the
exercise of any of the rights and powers herein granted, as fully to all intents
and purposes as the undersigned might or could do if personally present, with
